Beta Access & Confidentiality Agreement

Effective upon acceptance in the app

Product: Flipdraft (the "App"), an eBay listing automation and cross-listing tool operated by Detached Witness LLC ("Company," "we," "us").

By checking the box and submitting your name and email in the app, you ("Beta Tester," "you") agree to the following terms in exchange for early access to Flipdraft.

1. Confidentiality

You acknowledge that the App, including its source code, features, user interface, roadmap, pricing, integrations (including any eBay API implementations), and any materials, screenshots, or documentation shared with you (collectively, "Confidential Information") are proprietary and confidential to the Company.

You agree to:

Keep all Confidential Information private and not disclose it to any third party without prior written consent from the Company.
Not copy, reverse-engineer, decompile, or attempt to derive the source code or underlying methods of the App.
Not publicly post, screenshot, stream, or otherwise share the App's interface, features, or output (including generated listings or pricing data) outside of providing feedback directly to the Company.
Use the App solely for the purpose of testing and providing feedback, not for building a competing product or service.

2. No Ownership Transfer

Nothing in this Agreement transfers any ownership, license, or intellectual property rights in the App to you. All rights, title, and interest in Flipdraft remain solely with the Company.

3. Beta Status / As-Is Basis

You understand that Flipdraft is in active development ("beta") and may:

Contain bugs, incomplete features, or unexpected behavior.
Be modified, interrupted, or discontinued at any time without notice.
Interact with third-party services (such as eBay) via API integrations that are still being tested.

The App is provided "as is" and "as available," without warranties of any kind, express or implied. The Company is not liable for any lost sales, lost data, account issues, or other damages arising from your use of the beta App, to the maximum extent permitted by law.

4. Your Data

Your name and email address will be used only to manage your beta access (e.g., account setup, communicating updates, and requesting feedback) and will not be sold or shared with third parties.

If you connect your own eBay (or other marketplace) account to the App, you remain solely responsible for the accuracy of listings, pricing, and compliance with that marketplace's policies. The Company is not responsible for actions taken on your connected accounts.

5. Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by the Company to improve Flipdraft without any obligation to compensate you.

6. Term

This Agreement remains in effect for as long as you have beta access to the App, and the confidentiality obligations in Section 1 survive even after your access ends.

7. Governing Law

This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
